Terms of Use

Last updated: August 31, 2026

1. Acceptance of the Terms

By accessing, browsing or using the Partiu Formatura platform in any way, including its mobile apps, web portals and other digital services made available, you declare that you have read, understood and fully agree to these Terms of Use.

If you do not agree with any provision set forth herein, please stop using the platform immediately. Continued access to or use of the services after any changes to these Terms will constitute tacit acceptance of the new conditions.

These Terms of Use constitute a binding agreement between you ("User") and Partiu Desenvolvimento de Software Ltda., enrolled in the Brazilian corporate taxpayer registry (CNPJ) under No. 66.729.899/0001-96, headquartered at Rua Pais Leme, No. 215, Sala 1313, Pinheiros, São Paulo, State of São Paulo, Brazil, ZIP 05424-150 ("Partiu Formatura", "Partiu Software", "we", "us" or "our").

This English version is provided for convenience. In the event of any conflict, the Portuguese version prevails.

2. Definitions

For the purposes of these Terms of Use, the following definitions apply:

  • Platform: the set of systems, apps, portals and digital services developed and operated by Partiu Formatura, including mobile apps, administrative dashboards, web portals and APIs.
  • User: any individual or legal entity that accesses or uses the Platform, whether or not they have an active account.
  • Company: an organizational entity (graduation committee, educational institution or event company) that subscribes to the Platform to manage its graduations, operating in an isolated and independent environment within the multi-company system.
  • Subscriber: a User or legal representative of a Company who subscribes to a plan to access the Platform's features.
  • Graduate: a student linked to a graduating class within a Company, who uses the Platform to follow information, make payments and access content related to their event.
  • Committee: a group of Graduates elected or appointed to manage and organize the class's events and finances through the Platform.
  • Content: any data, text, images, photographs, videos, documents, logos and other materials uploaded, published or transmitted through the Platform, whether by the User, the Company or Partiu Formatura.

3. Nature of the Service and Legal Framework

3.1 Software as a Service

The Platform is provided as Software as a Service (SaaS), hosted on cloud infrastructure contracted by Partiu Formatura. There is no sale, assignment or transfer of software to the User: what is contracted is the right to access and use the Platform remotely, for a fixed term, within the limits of the current plan and these Terms.

Partiu Formatura acts as a technology provider. The Platform is a management tool and does not replace legal, accounting or financial advice. Partiu Formatura is not a party to agreements entered into between the Company and its Graduates, suppliers or third parties, nor does it guarantee, organize or run the graduation events managed through the Platform.

3.2 Laws Applicable to the Service

The services are provided in accordance with Brazilian law, in particular:

  • Law No. 10,406/2002 (Civil Code), regarding the formation, performance and termination of the contractual relationship;
  • Law No. 8,078/1990 (Consumer Protection Code), in relationships where the User qualifies as an end consumer;
  • Law No. 12,965/2014 (Brazilian Internet Civil Framework) and Decree No. 8,771/2016, regarding the retention of connection and application access logs and liability for third-party content;
  • Law No. 13,709/2018 (General Data Protection Law, LGPD), regarding the processing of personal data;
  • Law No. 9,609/1998 (Software Law) and Law No. 9,610/1998 (Copyright Law), regarding the protection of the Platform, its source code and the content published on it;
  • Law No. 9,279/1996 (Industrial Property Law), regarding Partiu Formatura's trademarks and distinctive signs;
  • Provisional Measure No. 2,200-2/2001, regarding the legal validity of electronic documents and signatures;
  • Law No. 14,063/2020, regarding the use of electronic signatures in interactions with public entities and in acts of private legal entities;
  • Supplementary Law No. 116/2003 and related tax legislation, regarding the issuance of tax documents for the services provided.

3.3 Multi-Company Environment and Company Responsibility

The Platform operates on a multi-company architecture, with logical isolation of each Company's data. Each Company is responsible, towards its Graduates, financial guardians, employees and third parties, for the information it enters, the charges it issues, the agreements it enters into and the decisions it makes with the support of the Platform.

The Company is also responsible for defining who accesses its environment, with which permissions, and for revoking access for people who leave. Partiu Formatura presumes that any access made with valid credentials for the Company's environment is legitimate.

3.4 Tax Documents

Partiu Formatura will issue the tax document corresponding to the services provided, as required by applicable law, sending it to the registered email address and making it available in the Platform's billing dashboard. Taxes levied on the price will be borne as provided by law.

4. Registration and Account

4.1 Accuracy of Information

The User undertakes to provide true, complete and up-to-date information at registration and throughout the entire period of use of the Platform. Providing false, incomplete or outdated data may result in the suspension or cancellation of the account, without prejudice to other applicable measures.

4.2 Password Responsibility

The User is solely responsible for keeping their password confidential and for all activities carried out in their account. We recommend using strong passwords, combining uppercase and lowercase letters, numbers and special characters. The User must immediately notify Partiu Formatura of any unauthorized use of their account or any other security breach.

4.3 Personal and Non-Transferable Account

The Platform access account is personal and non-transferable. The User may not assign, transfer, sell or otherwise make their account available to third parties. Each User must keep a single active account on the Platform. Creating multiple accounts by the same User may result in the cancellation of all associated accounts.

4.4 Minimum Age

To create an account on the Platform, the User must be at least 16 (sixteen) years old. Users under 18 (eighteen) must have the express authorization of their legal guardian, who will be jointly responsible for the use of the Platform.

5. Plans and Payment

5.1 Recurring Subscription

Access to the Platform's features is provided through recurring subscription plans, whose characteristics, included features and prices are described on the pricing page available on our website. Plans may be contracted on a monthly or annual basis, according to the options available.

5.2 Free Trial Period

Partiu Formatura offers a free trial period of 15 (fifteen) calendar days from the date the account is created. During this period, the User will have access to all features of the selected plan, free of charge. At the end of the trial period, if the User does not cancel, the subscription will automatically convert to the paid plan and the first charge will be processed.

5.3 Payment Processing

Payments are processed through Stripe, a third-party payment processing company. By providing their payment details, the User authorizes Partiu Formatura to make recurring charges according to the contracted plan. Credit card data is not stored on our servers and is managed exclusively by Stripe in compliance with PCI-DSS standards.

5.4 Automatic Renewal

The subscription will renew automatically at the end of each billing cycle (monthly or annual), unless the User cancels before the end of the current period. The renewal amount will correspond to the price of the contracted plan on the renewal date, with the adjustments and revisions set out in item 5.5 applied.

5.5 Annual Price Adjustment

The prices of the subscription, modules and usage-based fees will be adjusted annually, observing the minimum 12 (twelve) month interval set out in Article 2, paragraph 1, of Law No. 10,192/2001, counted from the start date of the plan or from the last adjustment applied.

The adjustment will be based on the accumulated change in the IPCA (Brazilian consumer price index), calculated by IBGE, over the immediately preceding 12 (twelve) months. If this index is discontinued, suspended or replaced, the IGP-M published by Fundação Getulio Vargas will apply and, failing that, the index that legally replaces it. If the change is negative, the price will be kept, with no automatic reduction.

The adjustment will be communicated to the Subscriber at least 30 (thirty) days before it takes effect, by email and by notice in the dashboard, indicating the index, the calculation period, the percentage and the new amount. Renewal of the cycle after this period, without objection, implies agreement with the new amount.

In addition to the annual index-based adjustment, Partiu Formatura may carry out an extraordinary price revision in the event of a relevant and demonstrable economic imbalance resulting, for example, from a significant increase in the cost of cloud infrastructure, exchange rate variation on inputs contracted in foreign currency, the creation or increase of taxes, or a substantial change in prices by essential suppliers. The extraordinary revision will likewise be communicated 30 (thirty) days in advance, with its grounds.

In any case of adjustment or revision, a Subscriber who does not agree with the new amount may terminate the agreement up to the date the change takes effect, with no termination penalty or fee, with amounts for the period already used, including measured usage, remaining due. Silence followed by continued use constitutes acceptance.

Annual agreements paid in advance are not subject to adjustment during the period already paid, with the new amount applying only at the next renewal. Promotional discounts, courtesies and special conditions granted for a fixed term end automatically at the end of the agreed period, and the return to the list price is not considered an adjustment.

5.6 Cancellation

The User may cancel their subscription at any time through the Platform's control panel or by contacting our support team. Cancellation takes effect at the end of the period already paid, with access guaranteed until the end of the current cycle. No prorated refunds will be issued for unused periods, except where required by law or in the event of a defect in the service.

Cancelling the subscription does not, by itself, end financial obligations already incurred. Because usage-based services are postpaid, the volume used up to the cancellation date is only calculated at the close of the cycle and charged on the following invoice. There will therefore be at least one invoice after the cancellation request, covering the storage and traffic of the current period, which remains due.

5.7 Usage-Based Services

In addition to the plan's monthly fee, certain modules are charged based on actual usage, on a postpaid basis: the volume is calculated at the close of the cycle and posted to the following invoice, so usage is always charged after it occurs. This includes, among others, photo storage for galleries and FormaturaTV, the latter detailed in Section 7, charged per gigabyte hosted and per gigabyte transferred in streams and playback.

Activating a module on any day of the cycle results in the full amount being charged for that period, with no proration by days of use. The current unit prices are shown on the pricing page and in the billing dashboard, and any adjustments follow item 5.5.

6. Non-Payment, Blocking and Data Deletion

This section objectively describes what happens when an invoice is not paid by its due date. It is an essential part of these Terms and should be read carefully, especially by Companies that store their Graduates' photographs and documents on the Platform.

6.1 Due Date and Notifications

From the first day of delay, the account is considered in default. Partiu Formatura will send payment reminders to the Subscriber's registered email and display alerts in the control panel, stating the amount due, the original due date and the scheduled date for blocking access.

Overdue amounts will be subject to a 2% (two percent) late fee, default interest of 1% (one percent) per month, calculated pro rata die, and monetary adjustment by the IPCA or any index that replaces it, as provided in Article 395 of the Civil Code.

6.2 Access Blocked Within 10 Days

If payment is not made, access to the account will be blocked within 10 (ten) calendar days from the invoice due date. Blocking is automatic and requires no notice beyond the reminders set out in item 6.1, constituting the defense of non-performance of contract under Article 476 of the Civil Code.

While blocked:

  • Access to the administrative dashboard, apps and APIs is suspended for all of the Company's users;
  • Photo galleries, videos, public links and Graduate access areas stop responding;
  • Automatic billing, notification, image processing and video streaming routines are interrupted;
  • Data remains stored and intact, pending settlement;
  • The billing area remains available, so the Subscriber can pay the debt and restore the service.

Blocking does not suspend the enforceability of overdue invoices or interrupt the contracted subscription cycle. Once the debt is paid, access is restored within 24 (twenty-four) business hours, with no reactivation fee.

6.3 Permanent Deletion Within 30 Days

If the default persists, Partiu Formatura will, within 30 (thirty) calendar days from the due date of the oldest open invoice, carry out the permanent and irreversible deletion of all account data, including, without limitation:

  • Original and derived photographs, galleries, selections and Studio archive files;
  • Videos, live stream recordings and other hosted media, including FormaturaTV media;
  • Records of Graduates, classes, committees, employees and suppliers;
  • Agreements, signed documents, attachments, reports and financial history;
  • Environment settings, integrations, access keys and customizations;
  • Backups and security copies associated with the account.

Deletion results from a legitimate operational need: storing photographs and videos generates ongoing hosting, traffic and processing costs that cannot be borne indefinitely under an unpaid agreement. The measure is also supported by the principle of necessity and the time limitation of processing set out in Articles 6, item III, and 15, item I, of the LGPD.

Before deletion, Partiu Formatura will send at least 2 (two) prior notices to the Subscriber's registered email, the last one at least 5 (five) calendar days before the scheduled deletion date. It is the Subscriber's responsibility to keep the contact email up to date and monitored.

6.4 Data Export Before Deletion

Between blocking and deletion, the Subscriber may request an export of the account data through the support channels, upon full payment of the debt or, at Partiu Formatura's discretion and on an exceptional basis, upon payment of the operational cost of extraction and the storage consumed during the period. Export requests received after deletion cannot be fulfilled, as no recoverable copies exist.

6.5 Data of Graduates and Third Parties

The Company acknowledges that the deletion set out in item 6.3 also covers the data and photographs of its Graduates, financial guardians and other data subjects linked to its environment. The Company alone, as the controller of such data, is responsible for informing these data subjects in advance about the default and the scheduled deletion, and for extracting and keeping the information it deems necessary.

Partiu Formatura is not liable to Graduates or third parties for loss of content resulting from the Company's default, nor for the Company's failure to provide the required communication.

6.6 Mandatory Retention

Data whose retention is required by law or necessary for the regular exercise of rights is excluded from deletion, and is kept in a segregated, restricted-access database, exclusively for that purpose:

  • Application access logs, for 6 (six) months, as provided in Article 15 of the Brazilian Internet Civil Framework;
  • Tax documents and accounting records, for the periods set by applicable tax law;
  • Data required to collect the outstanding debt and to defend administrative, judicial or arbitration proceedings;
  • Records of consent and processing operations required by the LGPD.

6.7 Resuming After Deletion

A new subscription after data deletion is possible, but the environment will be created empty. Recovering deleted photographs, videos, records or history is technically impossible, and later payment of the debt does not restore the deleted content.

7. FormaturaTV: Video, Live Streams and Usage-Based Billing

7.1 Scope of the Service

FormaturaTV is the Platform's video module, which allows the Company to host on-demand videos, live stream ceremonies and events, offer chat during streams and distribute this content to Graduates and guests through the apps, the TV app and the web portals. The module is contracted separately and its activation depends on the current plan.

Content uploaded to FormaturaTV is automatically processed to generate versions in multiple resolutions and adaptive streaming formats (HLS), which results in a stored volume larger than the original uploaded file. The User acknowledges that billing considers the volume actually stored after processing, not the size of the source file.

7.2 Per-Gigabyte Billing

FormaturaTV is charged based on usage, in gigabytes (GB), in addition to and cumulatively with the plan's monthly fee. Two distinct quantities are billed:

  • Storage (GB hosted): total volume of media kept on Partiu Formatura's infrastructure, including on-demand videos, live stream recordings, versions generated during processing, thumbnails and auxiliary files. It is measured directly in the storage repository of the Company's environment.
  • Streaming and playback (GB transferred): volume of data delivered to viewers during live streams and during playback of recorded videos, as well as the volume generated when ingesting the live signal sent by the Company. The larger the audience, the longer the live stream and the higher the chosen resolution, the greater the measured volume.

The per-gigabyte prices for storage and traffic are those in the current price table on the pricing page and in the Platform's billing dashboard, and may be revised with 30 (thirty) days' prior notice, as provided in Section 18. Fractions of a gigabyte are calculated proportionally, according to the criteria shown in the dashboard.

7.3 Measurement and Closing

Usage is measured automatically. Storage is measured periodically by scanning the environment's media repository and consolidated at the close of the billing cycle; traffic is counted continuously throughout the period. The breakdown is available in the billing dashboard, separated between videos and live streams.

Partiu Formatura's measurement records are the official source for billing. The Subscriber may dispute amounts within 15 (fifteen) calendar days of the invoice being issued, presenting evidence supporting the discrepancy; if an inconsistency is confirmed, the adjustment will be made as a credit on the following invoice.

Usage is not prorated: the volume measured in the period is charged in full, even if the module is deactivated before the end of the cycle. Videos and recordings kept on the Platform continue to incur storage charges until they are deleted by the Company, even if they are not accessed.

7.4 Company Responsibilities

The Company is responsible for:

  • Managing its archive, deleting videos and recordings it does not wish to keep, in order to control storage costs;
  • Obtaining from everyone portrayed the image, voice and name use authorizations required to stream and make the content available;
  • Ensuring that music, soundtracks, images and other works used in streams and videos are validly licensed, including with collective copyright management organizations;
  • Sizing its internet connection and correctly configuring the streaming software used at the signal source;
  • Moderating stream chat and participant behavior in its environment.

7.5 Technical Limits and Quality

Streaming and playback quality depends on factors beyond Partiu Formatura's control, notably the internet connection at the signal source, the viewers' network and the devices used. Partiu Formatura does not guarantee streaming free of failures, interruptions or quality variations, nor the integrity of live content that was not successfully recorded.

The Company is advised to run a test stream before each event. Partiu Formatura may set technical limits on bitrate, resolution, live stream duration, file size and number of simultaneous streams, communicating them through the dashboard or the technical documentation.

7.6 Unlawful Content and Stream Suspension

Partiu Formatura may immediately interrupt a stream or remove content that carries manifestly unlawful material, infringes third-party copyright or image rights, contains nudity or violence, or fails to comply with an order from a competent authority, without prejudice to the other measures set out in these Terms and subject to Article 19 of the Brazilian Internet Civil Framework.

7.7 Non-Payment in the Video Module

Failure to pay invoices containing FormaturaTV usage subjects the account to the process in Section 6: access blocked, with streams interrupted and videos unavailable, within 10 (ten) days of the due date, and permanent deletion of the entire video archive, including live stream recordings, within 30 (thirty) days.

8. Modules and Vertical Features

The Platform consists of a mandatory core and vertical modules contracted independently. This section sets out the specific conditions of each module and supplements, without replacing, the other provisions of these Terms. In the event of a conflict between a general rule and a module-specific rule, the specific rule prevails.

8.1 Subscription, Activation and Deactivation

Activating any module is a voluntary act of the Subscriber, carried out in the subscription dashboard or by formal request, and implies acceptance of the specific conditions set out here. A module activated on any day of the cycle is charged in full for the period, with no proration, as provided in item 5.7.

Deactivating a module stops billing from the following cycle, ends access to the corresponding features and does not, by itself, delete data already produced, which remains subject to the storage and deletion rules of these Terms. Usage-based modules continue to incur storage charges as long as content is kept on the Platform.

Partiu Formatura may change the composition of the catalog, adding, renaming, grouping or discontinuing modules, with 30 (thirty) days' prior notice. If a module is discontinued, the Subscriber is guaranteed the ability to extract the data produced in it and, where applicable, a proportional price reduction.

8.2 Partiu Formatura's Role in the Modules

In all modules, Partiu Formatura provides the technology tool. It does not act as a financial institution, insurance broker, law firm, accounting firm, dispatcher, event organizer, employer, carrier, sweepstakes promoter, publisher or advertising agency, nor does it assume the regulatory, professional or tax obligations specific to these activities, which remain entirely with the Company and the professionals it has qualified.

Calculations, suggestions, alerts, reports and rankings produced by the Platform are intended to support decisions. Review and the final decision always rest with the Company.

8.3 System

Mandatory module and the foundation for all others. It includes the administrative dashboard, management of classes, users, profiles and permissions, and the logical isolation of the Company's environment. It cannot be deactivated while the account is active, and its suspension makes all contracted modules unavailable.

The Company is responsible for its internal access policy, for granting and revoking permissions and for safeguarding its users' credentials, being liable for acts performed in its environment.

8.4 Finance, Treasury and Banking

Includes billing, accounts payable, cash flow, reconciliation, sending and receiving bank files, treasury and banking relationships. Partiu Formatura is not a financial institution or a payment institution and does not hold funds in custody: amounts flow directly between gateways, banks and accounts owned by the Company.

The Company is solely responsible for the accuracy of entries, for correctly issuing charges, for the fees applied to its Graduates, for safeguarding the registered bank credentials and certificates and for checking the bank remittance and return files. Reconciliation discrepancies, returns, reversals, chargebacks and failures by third parties that are part of the payment arrangement are not Partiu Formatura's responsibility.

Treasury reports, projections, forecasts, covenants and indicators are management estimates, do not constitute investment advice and do not replace the opinion of a qualified professional.

8.5 Electronic Service Invoices (NFS-e), Management and Tax Accounting

The Platform transmits electronic tax documents in the name and on behalf of the Company, based on the data, rates, service codes and tax regimes it provides, and using the digital certificate it owns. Tax liability, both principal and ancillary, lies exclusively with the Company, including withholdings, filing obligations and any tax assessments.

The accounting module is for management purposes and does not replace regular bookkeeping, which must be carried out by a qualified professional under Decree-Law No. 9,295/1946. Unavailability of municipal tax departments, state revenue offices (SEFAZ) or other issuing bodies is beyond Partiu Formatura's control and does not constitute a service failure.

8.6 Events and Tickets

Includes the event calendar, QR Code ticket issuance, access validation, door control, tables, ceremonial and consumption control. The Company is the event organizer before the public and the authorities, and is fully responsible for:

  • Permits, fire department certificates (AVCB), inspection reports, insurance and other licenses required by the venue and by municipal and state law;
  • Maximum capacity, security, fire brigade, accessibility under Law No. 13,146/2015 and priority service;
  • Granting half-price tickets and reserving quotas, under Law No. 12,933/2013 and Decree No. 8,537/2015, as well as applicable state and municipal laws;
  • Paying copyright royalties owed for the public performance of musical works, under Article 68 of Law No. 9,610/1998;
  • The cancellation, rescheduling and refund policy disclosed to buyers, in compliance with the Consumer Protection Code;
  • Age rating and restricted access for minors, where applicable.

The ticket issued is a named access document, whose transfer follows the rules set by the Company. Reading failures caused by the user's device, lack of connectivity at the venue or duplicate tickets issued outside the Platform are not Partiu Formatura's responsibility.

8.7 Store, Products and Live Commerce

In sales made through the store and in live commerce streams, the Company is the supplier before the consumer, under Article 3 of the Consumer Protection Code, and is responsible for the offer, price, product description, delivery, warranty, exchanges and after-sales service.

The Company must observe the 7 (seven) day right of withdrawal set out in Article 49 of the Consumer Protection Code for distance purchases, the disclosure duties of Decree No. 7,962/2013 and the applicable pricing and advertising rules. Partiu Formatura is not part of the consumer relationship established between the Company and the buyer.

8.8 Sweepstakes and Raffles

The module offers control of tickets, participants and drawing results. Promoting sweepstakes, raffles, contests and free prize distributions is a regulated activity that requires prior authorization from the competent federal body, under Law No. 5,768/1971, Decree No. 70,951/1972 and the regulations of the Secretariat of Prizes and Betting of the Ministry of Finance, except in legally exempt cases, notably those promoted by philanthropic entities within the limits of specific legislation.

The Company declares that it will obtain and maintain all required authorizations, and will be responsible for the regularity of the operating plan, the delivery of prizes, applicable taxation and accountability, holding Partiu Formatura harmless from any liability. Using the module to operate games of chance or unauthorized lotteries, conduct defined in Article 50 of Decree-Law No. 3,688/1941, or for fixed-odds betting outside the regime of Law No. 14,790/2023, is prohibited.

If there are signs of irregular use, Partiu Formatura may immediately suspend the module and, if necessary, the account, without prejudice to reporting to the competent authorities.

8.9 Gamification

Points, badges, levels, rankings and symbolic rewards in the gamification module have no monetary value, cannot be converted into money and do not constitute a sweepstakes, bet or commercial promotion. If the Company links material prizes to ranking performance, the rules of the item on sweepstakes and promotions apply.

8.10 Studio and Scheduling

Includes the photo session calendar, service pipeline, image selection, packages, extra photos, coupons, commissions and delivery. The commercial and contractual relationship with the Graduate belongs to the Company or the studio it hires, including delivery times, retouching policy and rescheduling and no-show rules.

Package prices, minimum selections, extra photos and deadlines are configured by the Company, which is responsible for correctly disclosing them to the Graduate before purchase. Partiu Formatura only executes the configured rules.

8.11 Photo Galleries and Storage

Galleries and Storage are charged based on usage, per gigabyte stored, according to the current price table on the pricing page and in the billing dashboard, at the price of the respective billing period. The volume considered includes the original file, its derived versions generated by processing, thumbnails and auxiliary files.

The Company is responsible for managing its archive and deleting what it does not wish to keep, since hosted content incurs ongoing charges even if not accessed. The Platform is not a long-term backup system: the Company is advised to keep its own copy of its relevant archive.

By default, uploaded photographs go through Partiu Formatura's image processor, which optimizes the original file before storing it and generates the thumbnail, medium and large derived versions used for browsing, facial search and gallery display.

The upload apps offer the option "Upload original file without processing", through which the file is uploaded exactly as it is on disk, without going through Partiu Formatura's proprietary encoder. Enabling this option is the Company's exclusive choice and has two economic effects that the Company hereby acknowledges and accepts:

  • Greater stored volume, since the file kept is complete and is usually several times larger than the optimized version, with a direct impact on per-gigabyte hosting charges;
  • Greater data transfer, both on upload and each time the file is delivered at full resolution, in which case the traffic fee set out in the current price table may be measured and charged, since the bandwidth cost is passed on by the infrastructure provider per gigabyte actually transferred.

The volume generated by this option is unpredictable, as it depends on file sizes and the number of high-resolution downloads, and may be many times the cost of the same archive uploaded with processing. A Company that enables this feature bears the resulting cost, and disputes based solely on the measured volume are not accepted. The breakdown is available in the billing dashboard and follows the measurement and dispute rules set out in item 7.3.

The use of facial recognition in galleries is fully subject to the section of these Terms on image rights and biometric data.

8.12 Digital and Corporate Agreements

Includes templates, clauses, versions, approval levels, signature workflow, searchable archive, obligations, adjustments and termination. The templates provided are reference material, do not constitute a legal opinion and must be reviewed by a qualified professional before use. Adapting the instrument to each specific case is the Company's responsibility.

The validity of collected signatures follows the section of these Terms on electronic documents and signatures, including qualified signatures with an ICP-Brasil certificate, when contracted.

8.13 Document Management

Repository of official documents and forms. The Company is responsible for the lawfulness of what it stores, for defining access levels and for observing the legal retention periods of documents it is required by law to keep. Partiu Formatura does not validate document authenticity or check originals.

8.14 Calendar

Shared Company calendar, with appointments, guests, groups and reminders. Adding third parties as guests involves processing their contact data, and the Company must ensure a legal basis for doing so. Reminders and notifications depend on delivery by external providers and do not replace the Company's own control of deadlines.

8.15 Class Journal, Partiu Teams and Internal Communication

The social content, direct messaging, comments and internal communication modules carry content generated by the users themselves. Partiu Formatura does not carry out prior moderation and, under Article 19 of Law No. 12,965/2014, is only civilly liable for third-party content after a specific court order for removal that is not complied with.

The procedure of Article 21 of the same law applies to the removal, upon notice from the participant or their legal representative, of content containing nudity or sexual acts of a private nature. The Company must maintain active moderation in its environment, especially when adolescents are involved, and act preventively against harassment, discrimination and violence.

8.16 Support and Help Desk

The module allows the Company to receive and handle tickets from its own Graduates and customers. Service provided through this channel is the Company's, with its own deadlines and staff, and is not to be confused with Partiu Formatura's technical support for the Platform, covered in a specific section of these Terms.

8.17 Messaging and Bulk Sending

Includes sending email, SMS, push notifications and WhatsApp messages, individually, segmented or in bulk. The Company is the sender and is solely responsible for the content, the recipient base and the existence of a legal basis for contact, observing:

  • Consent or demonstrable legitimate interest, under Articles 7 and 10 of the LGPD;
  • A working unsubscribe mechanism in marketing communications, with requests honored immediately;
  • A prohibition on unsolicited bulk sending, buying contact lists and using third-party databases without authorization;
  • Compliance with the policies of intermediary platforms, notably the quality, approved template and customer service window rules applicable to WhatsApp Business, non-compliance with which may lead the provider itself to block the number;
  • Contact times and methods consistent with good faith, especially in debt collection, under Article 42 of the Consumer Protection Code.

Costs charged by carriers, email providers and messaging platforms for message traffic may be passed on to the Subscriber, according to the current commercial model. Delivery, latency, spam filters, blocking and sender reputation depend on third parties and are not guaranteed by Partiu Formatura.

Using the Platform to send fraudulent, misleading or unlawful content or to engage in abusive debt collection authorizes the immediate suspension of the module.

8.18 CRM, Marketing and Lead Capture

Includes sales funnels, cadences, email marketing with a custom domain, landing pages, pop-ups, browsing tracking, lead scoring and channel attribution. The Company acts as controller of lead data and is responsible for:

  • Clearly informing data subjects of the purpose of collection and keeping an accessible privacy notice on capture forms and pages;
  • Obtaining consent for cookies and tracking technologies when required, and providing a way to refuse;
  • Ensuring a legal basis for enrichment, segmentation and automated lead scoring, guaranteeing the data subject the right to review set out in Article 20 of the LGPD;
  • Responding to data subject requests relating to this data.

Territories, portfolios, targets and commissions configured in the module reflect the Company's commercial decisions, including any labor effects on its sales team.

8.19 Websites and Portals

Allows publishing websites and pages on a Platform subdomain or on the Company's own domain. The Company is responsible for registering and owning the domain, for the published content, for the accuracy of the information, for the copyright and image rights of the material used and for the website's compliance with applicable law, including privacy notice, cookie policy and mandatory consumer information.

Partiu Formatura may suspend the publication of a website that carries manifestly unlawful content, infringes third-party rights or compromises the security and reputation of the shared infrastructure.

8.20 Advanced Analytics

Dashboards, indicators and projections are built from data entered by the Company itself. Their accuracy depends on the quality and integrity of that data. The results are informational and for management purposes, and do not constitute a performance guarantee, investment advice or technical opinion.

8.21 Event Production, Ceremonial, Tables, Transportation and Lodging

Includes production schedules, checklists, suppliers, table and seat occupancy, ceremonial scripts, name lists, transportation logistics and lodging reservations. It is an organizational tool. Running the event, hiring and paying suppliers, booking transportation and lodging and responsibility for participants lie exclusively with the Company.

When transporting participants, the Company is responsible for the regularity of the hired carrier, for the travel authorizations for minors required by the Brazilian Child and Adolescent Statute and for the applicable insurance coverage. Processing vehicle and passenger location data must have a specific purpose and be disclosed to data subjects in advance.

8.22 People Management and Occupational Health and Safety

Includes employee records, time tracking, schedules, vacations, documents, training, occupational exams and occupational health and safety records. All labor, social security, union and ancillary obligations, including filings with official systems, remain with the Company as employer.

Electronic time tracking records must comply with applicable law, including Ordinance MTP No. 671/2021 regarding the requirements of the system adopted. Data relating to health, exams and leave is sensitive personal data under Article 5, item II, of the LGPD, and access must be restricted to the professionals who need it. Any geolocation collected during time tracking must be disclosed to the employee in advance and limited to that purpose.

8.23 Freelancers and Teams

Includes records of self-employed professionals and legal entities, job openings, schedules, service terms, fees, field time tracking, ratings and payments. The relationship established is exclusively between the Company and the professional. Partiu Formatura is not the employer, service taker or labor intermediary, nor jointly or secondarily liable for any labor, social security or indemnity amounts arising from that relationship.

The Company is responsible for the correct legal classification of the engagement, issuing the required documents, paying the taxes and contributions due and complying with the safety rules applicable to field work.

8.24 Fleet, Route and Trip Management

Includes vehicle records, maintenance, refueling, documents, traffic fines, routes, trips and travel telemetry. The Company is responsible for the fleet's documentation, drivers' licenses, traffic violations, vehicle registration and insurance, under Law No. 9,503/1997.

Monitoring the location of vehicles driven by employees constitutes processing of personal data and requires a legitimate purpose, prior and clear information to the driver, proportionality and limitation to working hours, under the Company's responsibility.

8.25 Assets and Fixed Assets

Control of assets, inventory, management depreciation and transfers. Depreciation calculations and revaluations produced in the module are for management purposes and do not replace bookkeeping or the applicable tax criteria, which are defined by the qualified professional hired by the Company.

8.26 Controlling, Budgeting and Pricing

Budgets, cost curves, pricing, margins and scenarios are analysis tools. Setting consumer prices is an autonomous decision of the Company, which is responsible for its compliance with competition and consumer law. Using the Platform for price fixing or any other practice harmful to competition, under Law No. 12,529/2011, is prohibited.

8.27 Legal and Collections

Includes tracking of lawsuits, agreements, deadlines, notices and the collection workflow for defaulting customers. The module does not provide legal services, an activity reserved to professionals registered with the Brazilian Bar Association under Law No. 8,906/1994, and nothing generated in it constitutes a legal opinion or a legal document ready for use without professional review.

When collecting from its debtors, the Company must observe Article 42 of the Consumer Protection Code, refraining from exposing the consumer to ridicule or subjecting them to embarrassment or threats, as well as the rules for credit bureau reporting, notably the prior notice required by Article 43, paragraph 2, of the same code, and Law No. 12,414/2011 regarding positive credit records. Sending collection communications also follows the item on messaging and bulk sending.

8.28 Licenses, Insurance and Inspection Reports

The module organizes expiration dates and evidence of licenses, policies, inspection reports and payments, including fire department certificates (AVCB), insurance and public performance royalties. It is a document control tool: having a record on the Platform does not replace the license, policy or report, nor does it cure any irregularity before the competent authority. Expiration alerts are an operational convenience and do not transfer the duty of oversight to Partiu Formatura, which remains with the Company.

8.29 Quality and Compliance

Includes procedures, non-conformities, action plans, internal audits and indicators. The module supports the organization of a management system, but does not grant, guarantee or anticipate any certification, accreditation or regulatory compliance, which depend on assessment by a competent body.

8.30 LGPD and Compliance

The module offers tools to support compliance, such as records of processing activities, data mapping, consent management and handling of data subject requests. Subscribing to it does not make Partiu Formatura a controller nor relieve the Company of its legal responsibilities, including appointing a data protection officer and responding in a timely manner to data subjects and the Brazilian National Data Protection Authority.

8.31 Internal Operations: Inventory, Purchasing, Shipping, Kitchen and Cafeteria

Includes inventory control, batches and expiration dates, purchasing and quotes, receiving, picking and shipping, as well as the meal terminal, kitchen production and cafeteria control. The Company is responsible for the accuracy of records, the physical custody of goods and internal approval processes.

When handling and supplying food, the Company is solely responsible for complying with applicable health regulations, notably ANVISA Resolution RDC No. 216/2004 and related state and municipal rules, and for temperature control, traceability, expiration dates and allergen information. Recording batches and expiration dates on the Platform is a support tool and does not replace mandatory controls or the required technical responsibility.

8.32 Satisfaction Surveys and Reviews

Includes survey templates, sending triggers and collection of scores, comments and testimonials. The Company must inform respondents in advance of the purpose of the collection and any public use of testimonials, obtaining specific authorization when it intends to publish them with the author identified. Manipulating results for misleading advertising purposes is prohibited.

8.33 Partiu Formatura AI

The artificial intelligence copilot generates summaries, texts, analyses and suggestions based on the data in the Company's environment and configured knowledge bases. Responses are probabilistic and may contain inaccuracies, so human review is essential before any use, publication or decision.

The content generated does not constitute legal, accounting, tax, medical or financial advice. Using the feature for automated decisions that affect data subjects' rights without the possibility of review, subject to Article 20 of the LGPD, or to produce unlawful, discriminatory or misleading content, is prohibited. The Company is responsible for any content it publishes or forwards to third parties based on the generated outputs.

Data from the Company's environment is used to respond to requests and operate the feature, and is not used to train third-party models, unless expressly and specifically authorized by the Company. Usage limits and consumption policies may be applied and communicated in the dashboard.

8.34 Included Modules at No Additional Cost

Modules offered at no additional cost, or included in a broader module, may have their free status, usage limits or distribution revised with 30 (thirty) days' prior notice, without this constituting a harmful unilateral change, with the Subscriber guaranteed the option to terminate without penalty if they disagree.

8.35 Integrations, APIs and Third Parties

The Platform provides APIs, webhooks and integrations with third-party services, such as payment gateways, banks, messaging providers, cloud storage and map services. These services have their own terms, to which the Company is also bound, and their availability, pricing and continuity are not under Partiu Formatura's control.

The Company is responsible for safeguarding integration keys issued in its name and is liable for use made with those credentials. Partiu Formatura may set request limits, suspend keys that compromise the Platform's stability and change interface contracts with reasonable prior notice, preserving compatibility whenever possible.

9. Acceptable Use

9.1 Permitted Conduct

The User may use the Platform to:

  • Manage classes, graduates and graduation events within the scope of the Company they are linked to;
  • Make and track installment and ticket payments;
  • Upload and access photographs, documents and other content related to the events;
  • Communicate with other class members through the tools provided;
  • Generate reports, statements and administrative documents according to the features of the contracted plan.

9.2 Prohibited Conduct

The User is expressly prohibited from:

  • Using the Platform for illegal or fraudulent purposes or purposes that infringe third-party rights;
  • Uploading, publishing or transmitting content that is defamatory, obscene, threatening, discriminatory or that violates applicable law;
  • Attempting to access restricted areas of the Platform, other Users' accounts or other Companies' data;
  • Reverse engineering, decompiling, disassembling or otherwise attempting to obtain the Platform's source code;
  • Using bots, scrapers or any automated means to access or extract data from the Platform without prior express authorization;
  • Intentionally overloading the Platform's infrastructure, including through denial-of-service (DDoS) attacks;
  • Reselling, sublicensing or redistributing access to the Platform without Partiu Formatura's express authorization;
  • Using the Platform to send unsolicited communications (spam) or for unauthorized marketing purposes.

10. Intellectual Property

All intellectual property rights relating to the Platform, including but not limited to trademarks, logos, trade names, layout, visual design, source code, algorithms, databases, texts, images and other elements that make up the Platform, are owned exclusively by Partiu Formatura or its licensors, and are protected by Brazilian law and international intellectual property treaties.

Subscribing to the services and using the Platform do not grant the User any intellectual property rights over its elements. The User receives only a limited, non-exclusive, non-transferable and revocable license to use the Platform in accordance with these Terms and the contracted plan.

Any unauthorized reproduction, distribution, modification or use of elements protected by intellectual property will constitute a violation of Partiu Formatura's rights, subjecting the infringer to the applicable civil and criminal penalties.

11. User Content

11.1 Responsibility for Content

The User is solely and exclusively responsible for all Content they upload, publish, transmit or otherwise make available through the Platform, including photographs, documents, texts, videos and other materials. Partiu Formatura does not monitor Content uploaded by Users in advance and is not responsible for its accuracy, legality or appropriateness.

11.2 License to Use Content

By uploading Content to the Platform, the User grants Partiu Formatura a non-exclusive, royalty-free, worldwide, sublicensable and transferable license to use, reproduce, modify, adapt, publish and display such Content solely for the purposes of operating, maintaining and improving the Platform and providing the contracted services.

11.3 Content Removal

Partiu Formatura reserves the right to remove, at any time and without prior notice, any Content that violates these Terms of Use, applicable law or third-party rights. The User will be notified of the removal and may file an objection through the available support channels.

12. Image Rights, Photographs and Facial Recognition

12.1 Image Use Authorization

Photographs and videos uploaded to the Platform portray identifiable people. Obtaining authorization to use the image, voice and name of those portrayed, under Article 20 of the Civil Code and Article 5, items V and X, of the Federal Constitution, is the exclusive responsibility of the Company uploading the material, including for minors, in which case authorization must be given by the person holding custody or legal representation.

Partiu Formatura uses this material only to operate the contracted services. Photographs, videos or images of Graduates will not be used for advertising, promotional or institutional purposes without specific, written and prominent authorization from the data subject or their legal representative.

12.2 Copyright in Photographs

Photographs produced by studios and professionals hired by the Company remain protected by Law No. 9,610/1998. Uploading them to the Platform does not transfer ownership to Partiu Formatura, which acts solely as a provider of storage, processing and distribution services.

Graduates' photo downloads follow the commercial rules set by the Company for each gallery, and may be conditional on payment, a minimum selection or manual release. Access to a high-resolution image does not imply an assignment of copyright nor authorize commercial use by the Graduate.

12.3 Facial Recognition

The Platform offers a photo search feature using facial recognition, designed to let Graduates find their own images in event galleries. The processing involves sensitive personal data, as defined in Article 5, item II, of the LGPD, and follows these rules:

  • Use is optional and depends on specific and prominent consent from the data subject, or from their legal representative in the case of minors;
  • Biometric vectors derived from the image are stored and used exclusively for comparison within the Company's own environment;
  • Biometric data is not shared with third parties for any other purpose, sold or used for surveillance, profiling or behavioral assessment;
  • Consent may be withdrawn at any time, with deletion of the biometric vectors associated with the data subject;
  • Deleting the vectors does not remove the photographs from the gallery, which follow the contractual rules between the Graduate and the Company.

When the feature is used to validate access to events, the Graduate may choose an alternative means of identification without affecting their entry.

13. Data Protection (LGPD)

13.1 Privacy Policy

The processing of personal data carried out by Partiu Formatura is described in our Privacy Policy, which is an integral part of these Terms of Use and can be consulted on our website. By accepting these Terms, the User declares that they have also read and understood the Privacy Policy.

13.2 Legal Basis for Processing

Users' personal data is processed based on the legal grounds set out in the Brazilian General Data Protection Law (Law No. 13,709/2018, LGPD), including, as applicable: performance of a contract, consent of the data subject, compliance with a legal obligation, regular exercise of rights and legitimate interest of the controller.

13.3 Data Subject Rights

In accordance with the LGPD, the User has the following rights regarding their personal data:

  • Confirmation that data is being processed;
  • Access to the personal data collected;
  • Correction of incomplete, inaccurate or outdated data;
  • Anonymization, blocking or deletion of unnecessary data or data processed in breach of the law;
  • Portability of data to another service provider;
  • Deletion of data processed based on consent;
  • Information about data sharing with third parties;
  • Withdrawal of consent, where applicable.

To exercise any of these rights, the User may contact us through the channels listed in the last section of these Terms.

13.4 Roles of the Parties

As a rule, the Company acts as controller of the personal data of its Graduates, financial guardians, employees and guests, defining the purposes and means of processing; Partiu Formatura acts as processor, handling such data according to the Company's instructions and these Terms.

Partiu Formatura acts as controller regarding the Subscriber's registration and billing data, access and security logs, data required for support and information used for fraud prevention and Platform improvement.

13.5 Sub-processors and International Transfers

To operate the Platform, Partiu Formatura relies on providers of cloud infrastructure, storage, messaging, payment processing and image processing, some of them located abroad. International transfers comply with Articles 33 to 36 of the LGPD, through appropriate contractual clauses and security safeguards compatible with Brazilian law.

13.6 Security and Incidents

Partiu Formatura adopts technical and administrative security measures consistent with the state of the art, including encryption in transit, logical isolation between environments, role-based access control, audit logging and backup routines. No system is immune to incidents: if a security incident poses a relevant risk to data subjects, Partiu Formatura will notify the Company and, where applicable, the Brazilian National Data Protection Authority and the data subjects, within a reasonable time, under Article 48 of the LGPD.

13.7 Data of Minors

When data of children and adolescents is processed, which is common in primary and secondary school graduations, processing will observe the best interests of the data subject and will depend on specific consent from at least one parent or legal guardian, under Article 14 of the LGPD, with the Company responsible for collecting and keeping this authorization.

13.8 Data Protection Officer

Partiu Formatura has a data protection officer, reachable through the channels listed in the last section of these Terms and through the Privacy Portal.

14. Electronic Documents and Signatures

14.1 Legal Validity

Agreements, terms, authorizations and other documents executed through the Platform are recognized by the parties as valid and effective, under Article 10, paragraph 2, of Provisional Measure No. 2,200-2/2001 and Law No. 14,063/2020, even when a simple or advanced electronic signature is used without a certificate issued under ICP-Brasil (the Brazilian public key infrastructure).

For stronger evidentiary value, the Platform records, for each signature, the IP address, time, device used, data provided by the signer and the cryptographic hash of the signed document, forming an audit trail available to the parties.

14.2 Qualified Signature

When available and contracted, the Platform may apply a qualified digital signature with an ICP-Brasil certificate, in the PAdES standard, in which case the document is presumed true in relation to the signers, under Article 10, paragraph 1, of Provisional Measure No. 2,200-2/2001.

14.3 Document Retention

Signed documents are retained for the life of the account, subject to the blocking and deletion rules in Section 6. The Company and the Graduate are advised to keep their own copies of relevant documents, since the Platform is not a permanent repository.

14.4 Electronic Communications

The parties recognize as valid communications sent by email, in-app notification, message in the Platform dashboard or WhatsApp to the registered contacts. The User is responsible for keeping these contacts up to date; communications sent to the registered details are presumed received.

15. Availability and SLA

15.1 Best Efforts

Partiu Formatura uses its best efforts to keep the Platform continuously available and accessible, 24 (twenty-four) hours a day, 7 (seven) days a week. However, Partiu Formatura does not guarantee uninterrupted availability, and temporary interruptions may occur due to scheduled maintenance, system updates, technical failures, force majeure events or circumstances beyond our control.

15.2 Scheduled Maintenance

Scheduled maintenance that may affect the Platform's availability will be communicated to Users at least 48 (forty-eight) hours in advance, and will preferably be carried out during periods of lower usage. Partiu Formatura undertakes to minimize downtime and to communicate any delays or extensions to the maintenance period.

15.3 Technical Support

Technical support is available on business days, from 9 a.m. to 6 p.m. (Brasília time, UTC-3), through the support channels provided on the Platform. Response time may vary according to the contracted plan and the complexity of the request.

16. Limitation of Liability

To the maximum extent permitted by applicable law, Partiu Formatura, its directors, employees, agents, partners and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, including, without limitation, loss of profits, data, use, goodwill or other intangible losses, resulting from:

  • Access to or use of, or inability to access or use, the Platform;
  • Any conduct or content of third parties on the Platform;
  • Content obtained from the Platform;
  • Unauthorized access to, use of or alteration of the User's transmissions or content;
  • Interruptions, errors, viruses or technical failures of the Platform.

In no event will Partiu Formatura's total aggregate liability exceed the total amount paid by the User in the 12 (twelve) months immediately preceding the event that gave rise to the claim, or BRL 5,000.00 (five thousand Brazilian reais), whichever is greater.

The limitations in this section apply regardless of the legal theory on which liability is based, including warranty, contract, statute, tort (including negligence) or otherwise, and even if Partiu Formatura has been advised of the possibility of such damages.

17. Termination

17.1 Termination by the User

The User may close their account and terminate these Terms at any time, by request through the Platform's control panel or by contacting our support team. Closing the account will end access to all Platform features at the end of the current billing cycle, with usage amounts not yet invoiced remaining due, as provided in item 17.5.

17.2 Termination by Partiu Formatura

Partiu Formatura may suspend or close the User's account, immediately and without prior notice, in the following cases:

  • Violation of any provision of these Terms of Use;
  • Non-payment, following the blocking and deletion process set out in Section 6;
  • Illegal or fraudulent activities or activities that cause harm to the Platform, other Users or third parties;
  • A request from a competent judicial or administrative authority;
  • Account inactivity for more than 12 (twelve) consecutive months.

17.3 Effects of Termination of an Account in Good Standing

When an account with no outstanding debts is closed, Partiu Formatura will keep the User's data for 90 (ninety) days, during which an export of the archive may be requested. After this period, the data will be permanently deleted, except for the mandatory retention described in item 6.6.

17.4 Effects of Termination for Non-Payment

If there is an outstanding debt, the 90 (ninety) day period in the previous item does not apply. The process in Section 6 prevails in full: access blocked within 10 (ten) days and permanent deletion of all data, photographs and videos of the account and its Graduates within 30 (thirty) days of the invoice due date.

17.5 Final Usage Invoice

Usage-based services are postpaid. For this reason, closing the account, even when requested with the account in good standing, does not eliminate payment for storage and traffic already used and not yet invoiced: the volume for the current period is calculated at the close of the cycle and charged on a final invoice, issued after the account is closed.

The final invoice covers storage kept until the archive is actually deleted or exported, including during the 90 (ninety) day retention period in item 17.3, during which the data continues to occupy infrastructure. A User who wishes to stop incurring this cost must delete their archive before closing the account or expressly request immediate deletion of the data, waiving the export period.

The final invoice follows the same due date, dispute and late payment rules as other invoices, and failure to pay it subjects the User to the collection measures set out in Section 6.

17.6 Surviving Obligations

Termination, for any reason, does not release the User from paying amounts due up to the closing date, including storage and streaming usage measured afterwards, as these are postpaid charges. The clauses on intellectual property, confidentiality, limitation of liability, data protection and jurisdiction survive termination.

18. Changes to the Terms

Partiu Formatura reserves the right to modify these Terms of Use at any time, at its sole discretion, to reflect changes in our services, applicable law or our business practices.

Any substantial changes will be communicated to Users at least 30 (thirty) days in advance, by notice sent to the email address registered on the Platform and/or by a prominent notice on the Platform itself.

Continued use of the Platform after the notice period ends will constitute tacit acceptance of the new Terms. If the User disagrees with the changes, they may close their account following the procedure described in Section 17.

The history of previous versions of these Terms will be kept and made available to the User upon request.

19. General Provisions

19.1 Severability

If any provision of these Terms is declared null or unenforceable, the remaining provisions will not be affected and will remain valid and in full force, and the affected clause must be replaced by another that preserves, to the greatest extent possible, the original intention of the parties.

19.2 No Novation and Tolerance

Tolerance of the breach of any obligation, including not immediately blocking an account in default, is a mere courtesy and does not imply novation, waiver of rights, change to the deadlines in Section 6 or the creation of a precedent.

19.3 Assignment

The User may not assign or transfer their contractual position, in whole or in part, without Partiu Formatura's prior written consent. Partiu Formatura may assign this agreement in the event of a corporate reorganization, merger, spin-off, incorporation or sale of assets, upon notice to the User.

19.4 No Relationship

These Terms do not create any employment, partnership, agency, franchise or joint liability relationship between the parties, with each party remaining responsible for its own labor, social security, tax and commercial obligations.

19.5 Acts of God and Force Majeure

Neither party will be liable for non-performance resulting from acts of God or force majeure, under Article 393 of the Civil Code, including widespread failures of internet, electricity or cloud infrastructure providers, large-scale cyberattacks, government decisions and natural events.

19.6 Entire Agreement

These Terms, the Privacy Policy, the current pricing page and any specific agreements signed between the parties constitute the entire agreement regarding the subject matter hereof. In the event of a conflict, the specific agreement signed between the parties prevails and, in its absence, these Terms.

20. Jurisdiction and Governing Law

These Terms of Use will be governed by and construed exclusively in accordance with the laws of the Federative Republic of Brazil, regardless of conflict of law provisions.

To settle any disputes arising from these Terms of Use or related to the use of the Platform, the parties elect the courts of the Judicial District of São Paulo, State of São Paulo, Brazil, expressly waiving any other, however privileged it may be.

Before resorting to the courts, the parties undertake to seek an amicable solution to any disputes through direct negotiation for a minimum period of 30 (thirty) days from formal notice of the dispute.
